These Terms of Service set out the terms on which Greenfields Dairy Limited supplies its dairy products and related services. Please read these Terms carefully before placing an order or using our services. By placing an order, entering into a supply arrangement, or otherwise using our services, you agree to be bound by these Terms.
1. Introduction and acceptance of terms
These Terms of Service apply to all customers, clients, and other persons who access, purchase, or use the services provided by Greenfields Dairy Limited, whose registered business contact details are set out in Section 12 below.
By requesting a quotation, placing an order, accepting delivery, or otherwise engaging with Greenfields Dairy Limited, you confirm that you have read, understood, and agreed to these Terms. If you do not agree to these Terms, you must not use our services.
We may also agree additional written terms, service schedules, or supply agreements with particular customers. If there is any conflict between these Terms and a signed written agreement, the signed written agreement will prevail to the extent of the inconsistency.
2. Scope of services

We may supply products on a recurring, scheduled, ad hoc, wholesale, or account basis, depending on availability, customer requirements, and any agreed commercial terms.
All products are subject to availability and may be substituted with comparable items where reasonably necessary, provided that any material substitution is communicated where practicable.
We reserve the right to vary product ranges, service areas, delivery schedules, packaging, and minimum order requirements at any time, subject to applicable law and any specific written agreement.
3. User obligations and responsibilities
Customers and recipients of our services must:
- Provide accurate, complete, and up-to-date information when placing orders or opening accounts;
- Ensure that delivery locations are safe, accessible, and suitable for receiving perishable dairy products;
- Ensure that any refrigeration, storage, handling, and food safety requirements are met immediately upon delivery;
- Inspect goods on delivery and notify us promptly of any apparent damage, shortage, or discrepancy;
- Use products in accordance with any labels, storage instructions, use-by dates, or handling guidance provided;
- Maintain appropriate hygiene and temperature control for all dairy products after delivery;
- Pay all amounts due in accordance with agreed payment terms;
- Not resell, redistribute, or misuse products contrary to law, regulation, or the intended purpose of the supply.
You acknowledge that dairy products are perishable and require careful handling. We are not responsible for deterioration caused by delayed collection, improper storage, or mishandling after delivery or collection.
You are responsible for ensuring that any person receiving delivery on your behalf is authorised to do so.
4. Payment terms and conditions
Unless otherwise agreed in writing, all prices are stated in pounds sterling (GBP) and are exclusive of VAT and any other applicable taxes, duties, levies, or charges, which will be added where required by law.
Invoices are payable in full by the due date stated on the invoice or order confirmation. Where no specific due date is stated, payment must be made within 14 days of the invoice date.
We may require advance payment, deposits, card pre-authorisation, or credit limits for certain orders, customers, or account types.
If payment is not received by the due date, we may, without prejudice to any other rights or remedies:
- Suspend or cancel future deliveries;
- Charge interest on overdue sums at the statutory rate permitted by applicable law;
- Recover reasonable debt recovery and enforcement costs;
- Require payment in advance for future supplies.
Any dispute concerning an invoice must be raised in writing promptly and in any event before the invoice due date. Undisputed sums must still be paid on time.
5. Cancellation and refund policy
Because our products are often fresh, chilled, or otherwise perishable, cancellation rights are limited.
For scheduled deliveries or recurring supply arrangements, cancellations or changes must be made within the notice period agreed with us. If no notice period is specified, you must give at least 24 hours' notice before the scheduled delivery time for standard fresh product orders, and at least 48 hours' notice for larger wholesale or catering supply orders, where reasonably practicable.
We may accept cancellations outside these notice periods at our discretion, but we are not obliged to do so.
Refunds are generally not available for:
- Perishable goods that have been delivered in accordance with the order;
- Goods that have been opened, used, stored improperly, or handled after delivery;
- Orders cancelled after the applicable notice period;
- Products damaged due to customer delay, negligence, or failure to provide suitable storage conditions.
If goods are delivered incorrectly, are defective on arrival, or do not materially conform to the order, please notify us as soon as reasonably possible and, in any event, within 24 hours of delivery for chilled products. Where a claim is accepted, we may at our option replace the goods, issue a credit note, or provide a refund for the affected items only.
Any refund will be processed using the original payment method where reasonably practicable, subject to applicable law and internal processing times.
6. Liability limitations
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot legally be excluded.
Subject to the paragraph above, Greenfields Dairy Limited will not be liable for:
- Losses arising from incorrect storage, handling, or use of products after delivery;
- Delays caused by events outside our reasonable control;
- Loss of profit, loss of business, loss of opportunity, or indirect or consequential loss;
- Any loss arising from inaccurate information provided by the customer;
- Any failure by the customer to comply with food safety, temperature control, or hygiene requirements.
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with any order, supply, or service shall be limited to the total amount paid or payable by you for the specific goods or services giving rise to the claim.
You are responsible for maintaining appropriate insurance for your own business operations, premises, stock, and activities where relevant.
7. Intellectual property rights
All intellectual property rights in our business name, branding, logos, product descriptions, website content, photographs, documentation, and supply materials remain the property of Greenfields Dairy Limited or its licensors.
You may not copy, reproduce, modify, distribute, publish, or use our intellectual property except as necessary to receive and use our services for lawful business purposes or where we have given prior written consent.
Any feedback, suggestions, or recommendations you provide to us may be used by us without restriction and without any obligation to compensate you, unless otherwise agreed in writing.
8. Data protection and privacy

Where a force majeure event occurs, we may suspend, modify, or cancel affected deliveries or services for the duration of the event and for a reasonable recovery period thereafter.
10. Changes to terms
We may update or amend these Terms from time to time to reflect changes in our business, products, legal obligations, or operational requirements.
The updated Terms will take effect from the date stated on the revised version or, if no date is stated, upon publication or communication to you, whichever is earlier.
If you continue to place orders or use our services after any update becomes effective, you will be deemed to have accepted the revised Terms. Where a material change adversely affects an existing ongoing supply arrangement, we will use reasonable efforts to give advance notice.
11. Applicable law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and interpreted in accordance with the laws of England and Wales, unless otherwise required by applicable law.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to any mandatory legal rights of consumers or other protected parties, where applicable.

13. Severability clause
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court or other competent authority, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if that is not possible, it shall be severed from these Terms.
The remaining provisions shall continue in full force and effect. Any failure by Greenfields Dairy Limited to enforce a right or remedy under these Terms shall not constitute a waiver of that right or remedy.
